Business Structures & Company Formation

Choose a business structure that fits how you plan to operate.

Setting up a business involves more than registering a name. How you structure the business can affect tax, ownership, administration, risk and the options available to you later.

JOE CA helps you understand the practical and tax implications of the available structures, decide on an approach suited to your circumstances and get the accounting and registration side established properly.

Is this service for you?

We can help if you're:

  • Starting a new business.
  • Moving from a sole trader structure to a company.
  • Establishing a business with other owners.
  • Considering a partnership or joint venture.
  • Reviewing whether your current structure still suits the business.
  • Considering a look-through company or family trust.

Choosing the right structure for your circumstances

There isn't one structure that's right for every business.

Before making a recommendation, Joe looks at what the business will do, who will own it, expected income, funding, risk and future plans.

Where relevant, he'll also consider the owners' existing businesses and personal circumstances where these affect the tax position.

Depending on your circumstances, the options may include:

  • Sole trader
  • Partnership or limited partnership
  • Joint venture
  • Limited liability company
  • Look-through company
  • Family trust

Joe will explain the practical and tax implications so you can make an informed decision rather than choosing a structure simply because it's what someone else uses.

Help getting the structure established

Once you've agreed on the structure, JOE CA can assist with the accounting and tax side of getting it established.

This can include company formation administration, relevant Inland Revenue registrations and setting up the accounting arrangements.

Where legal documentation is required, Joe can work alongside your lawyer so the legal arrangements and accounting treatment are consistent.

Why work with JOE CA?

You're not simply handed a registration form.

You'll deal directly with Josef Langreiter, a Chartered Accountant who considers the business, its owners and where you're trying to go before recommending a structure.

The aim is to establish something appropriate for your circumstances and manageable for you to operate.

  • Deal directly with your Chartered Accountant.
  • Practical explanations in everyday language.
  • Focused on micro and small businesses.
  • Clear scope and fees before work begins.

What clients say

“Joe is very approachable, extremely knowledgeable, and highly professional. I’m an accountant myself, so I already have a solid understanding of the fundamentals — but I needed specialist property advice and clarification around trust matters. Joe explained everything clearly and efficiently during our one hour session, and then went above and beyond by following up with additional insights I hadn’t even asked for.”
